1. Scope of Work:
1.1 The cleaning company agrees to provide residential or commercial cleaning services as outlined in the service agreement.
1.2 The specific tasks and frequency of services will be detailed in the service agreement or work order.

2. Pricing and Payment:
2.1 Pricing for services will be as agreed upon in the service agreement.
2.2 Payment is due 14 calendar days from the date of the invoice.
2.3 Late payments may incur a fee of $25.00.

3. Cancellation and Rescheduling:
3.1 Clients must provide a minimum of 24 hours' notice for cancellation or rescheduling.
3.2 Cancellations or rescheduling with insufficient notice may incur a fee of $40.00.

4. Access to the Property:
4.1 Clients shall provide access to the property during the agreed-upon cleaning times.
4.2 Any security measures or arrangements for key access shall be communicated in advance.

5. Client's Responsibilities:
5.1 Clients are responsible for providing necessary cleaning supplies unless otherwise specified in the service agreement.
5.2 The property should be reasonably decluttered to facilitate efficient cleaning.

6. Liability and Insurance:
6.1 The cleaning company carries liability insurance for damages caused by the company's personnel.
6.2 The client is responsible for reporting damages within 7 calendar days of the cleaning service.

7. Quality Assurance:
7.1 The cleaning company is committed to providing high-quality services.
7.2 Clients are encouraged to report any dissatisfaction within 3 calendar days for prompt resolution.

8. Privacy Policy:
8.1 Client information will be handled in accordance with applicable privacy laws.
8.2 The cleaning company shall not disclose client information without explicit consent.

9. Termination of Services:
9.1 Either party may terminate services with written notice.
9.2 Outstanding fees must be settled upon termination.

10. Equipment and Supplies:
10.1 Unless otherwise agreed, the cleaning company will provide all necessary cleaning supplies and equipment.

11. Satisfaction Guarantee:
11.1 If the client is dissatisfied with any aspect of the cleaning service, the company will reevaluate and rectify the issue promptly.

12. Holidays and Inclement Weather:
12.1 Cleaning appointments affected by holidays or inclement weather may be rescheduled by mutual agreement.

13. Communication:
13.1 Communication shall be primarily conducted through email at hello@orangeandclovehtx.com.
13.2 The cleaning company will respond to client inquiries within 48 hours.

14. Photographic Consent:
14.1 By engaging Orange and Clove for cleaning services, the client grants permission for Orange and Clove to take before and after photographs of the areas cleaned within the client's home.
14.2 These photographs will be used solely for the purposes of showcasing the quality of our services on our website, social media platforms, and marketing materials.
14.3 The client's personal information and any identifiable details within the photographs will be kept confidential. If the client prefers not to have photographs taken or used, they must notify Orange and Clove in writing prior to the commencement of services.

15. Indemnification:
15.1 Both parties agree to indemnify and hold each other harmless from claims or liabilities arising from the services.

16. Force Majeure:
16.1 Neither party shall be liable for delays or non-performance due to circumstances beyond their control.

17. Confidentiality:
17.1 The cleaning company agrees to keep client information confidential.

18. Non-Solicitation:
18.1 Both parties agree not to solicit or hire each other's employees or clients during the term of this agreement and for 6 months thereafter.

19. Governing Law:
19.1 This agreement shall be governed by and interpreted in accordance with the laws of the State of Texas.

20. Entire Agreement:
20.1 These terms and conditions, along with any attached service agreements, constitute the entire agreement between the parties.

21. Amendment:
21.1 This agreement may be amended or modified only in writing and signed by both parties.

By hiring Orange and Clove, the client acknowledges receipt and understanding of these terms and conditions.
